BETWEEN AMERICAN AND FOREIGN CORPORATIONS

TO FORM A JOINT VENTURE IN FOREIGN COUNTRY.

This Agreement is made this____day of______, 20____ between a corporation organized under the United States the laws of ____________ State of America, and having its principal office at_____________(«American Company») and_________ corporation organized in accordance with the laws of ______________, and having its principal office at _____________(«Foreign Company») with reference to the following facts:
